Abstract

Türkiye’de bu gelişmelere paralel olarak vergi kanunlarını yeniden yapılandırmıştır. Bu bağlamda 5422 Sayılı Kurumlar Vergisi Kanunu değiştirilerek 5520 Sayılı Kurumlar Vergisi Kanunu 21.06.2006 tarihinde yürürlüğe girmiştir. Kurumların vergiden kaçınma ve kar elde etme çabaları ile devletlerin vergi gelirlerinin aşınmasını önleme çabalarının bir sonucu olan örtülü sermaye, kurumların kazançlarını sermaye yerine borç vererek muvazaa yoluyla gizli olarak, vergi matrahını aşındırmayı amaçlayan işlemlerini önlemek için getirilmiş bir vergi güvenlik müessesidir. Vergi matrahının aşınmasının önlenmesi ve eşitsizliğin giderilmesi amacıyla, örtülü sermaye müessesi vergi güvenlik tedbirleri kapsamında ele alınmaktadır. Ayrıca, kurumlar borç aldıkları kişilere ödedikleri faiz, vade farkı, kur farkı gibi masraflarını gider olarak indiremeyeceği hüküm altına alınmıştır. Kurum ortakları işletmeye sermaye koyarak kar payı elde etmek yerine, sermayeye borç görünümü vererek karşılığında faiz elde etmeyi tercih etmektedirler. Bu çalışmada örtülü sermaye kavramı/unsurları, örtülü sermaye üzerinden faiz ve kur farkı ödenmesinin sonuçları, örtülü sermaye sayılmayacak borçlanmalar ve örtülü sermaye müessesesinde düzeltme işlemleri detaylı biçimde anlatılmaya çalışılmıştır.Key Words : Concealed Capital, Tax Security Measures, Interest on Capital INTEREST ON CONCEALED CAPITALS IN CORPORATION TAXABSTRACTAs a result of fast economic developments throughout the world, many countries have changed their taxation systems. The taxation laws in Turkey have been restructured in parallel with such developments. In this context, the Corporation Tax Law No. 5422 has been amended, and the Corporation Tax Law No. 5520 entered into force on 21.06.2006. The concealed capital, a result of the efforts by the business entities to avoid taxes and, of the efforts by the governments to prevent their tax incomes from being reduced, is a tax security mechanism developed to prevent the transactions of the business entities aimed to reduce their tax basis by means of collusion in a hidden manner by lending instead of capital. For the prevention of the reduction in the tax basis and, the elimination of the inequality, the concealed capital mechanism is dealt with in the scope of tax security measures. In addition, it is provided that the business entities are not allowed to deduct their expenses such as interests, late interests and exchange differences as may be paid to those from whom they borrow. Business entities prefer to get interests by making the capital look like debts, instead of getting dividends by investing capital. This study is intended to explain in detail the concept/factors of the concealed capital, the consequences of the payment of interests and exchange differences over the concealed capital, the indebtedness not considered to be concealed capital, and the corrections in the concealed capital mechanism.
