Sürekli borç doğuran sözleşmelerde hükümsüzlük

Abstract

Sürekli borç doğuran sözleşmeler, edimin kesintisiz ve her an yerine getirildiği türden sözleşmelerdir. Bu sözleşmelerin çeşitli sebeplerle hükümsüzlüğü gündeme gelebilir. Fakat hükümsüzlüğün sonuçlarının, sürekli borç doğuran sözleşmelerin niteliklerine uygun şekilde tesir etmesi gerekir. Bir diğer anlatımla bu sözleşmelerin geçersizliği, ileriye etkili olacak şekilde hüküm ve sonuçlarını doğurmalıdır. Bu hukuki ilişkilerin kendilerine has özellikleri, hükümsüzlüğün geçmişe etkili sonuçlar doğuracak şekilde sona ermesine izin vermemekte ve aksi bir durum, adaletsiz sonuçların doğmasına neden olmaktadır. Bu sebeple gerek öğretide gerek yargı uygulamasında, bahse konu durumlarda ortaya çıkabilecek sorunların önüne geçmek adına birçok öneri sunulmuş ve çeşitli yanıtlar aranmıştır. Çalışmamızda, sürekli borç doğuran sözleşmelerin hükümsüzlüğü nedeniyle ortaya çıkan problemlere, bu sözleşmelerin yapısına uygun çözümler getirilmeye çalışılmıştır. İlgili çözümler, bu sözleşmelere özgü çeşitli hükümsüzlük hâllerine tatbik edilmiş ve ortaya çıkan sonuçlar izah edilmeye uğraşılmıştır. Bahse konu izah, bilhassa hizmet; eser ve vekâlet sözleşmesi özelinde yapılmış olup, bu sözleşmelerde hükümsüzlüğünün çeşitli görünüm şekilleri ve bunların ortaya çıkardığı sonuçlar değerlendirilmeye çalışılmıştır.

Contracts with continuing performance are contracts under which the obligation must be performed continuously and at all times. The invalidity of such contracts may arise for various reasons. However, the consequences of the invalidity must be in line with the nature of contracts with continuing performance. In other words, the invalidity of such contracts must give rise to their provisions and consequences with prospective (ex nunc) effect. The unique characteristics of these legal relationships do not allow invalidity to terminate with retrospective (ex tunc) effect, and any contrary situation would lead to unjust results. For this reason, both in legal doctrine and judicial practice, numerous proposals have been made and various solutions sought to prevent the problems that may arise in such cases. This study aims to provide solutions appropriate to the structure of contracts with continuing performance, addressing the problems arising from their invalidity. The proposed solutions have been applied to various forms of invalidity specific to these contracts, and the resulting outcomes have been explained. This explanation is particularly focused on service, work, and mandate contracts, with an effort to examine the various manifestations of the invalidity in these contracts and the consequences they entail.
