Abstract
ŞİRKET BİRLEŞMELERİNDE İNSAN KAYNAKLARI YÖNETİMİNİN ÖNEMİ VE UYGULAMADAN BİR ÖRNEK ÖZET Temelde sinerji yaratmak ve stratejik etkinlik sağlamak amacıyla gerçekleştirilen şirket birleşmelerinde, finansal ve huhuki konular yanında ağırlıklı olarak, iletişim, kültür, verim düşüklüğü, güvensizlik gibi insan kaynakları ile ilgili sorunların da yaşandığı görülmektedir. Birleşen şirketlerin insan kaynakları uygulamalarının uyumu yeterince planlanmadan ve insan kaynakları sorunlarına dikkat verilmeden yapılan birleşmelerde şirketler, beklentilerine ya ulaşamamakta ya da uzun yıllar sonra ulaşabilmektedir. Dolayısıyla, finansal ve hukuki konular yanında, denklemin insan yönünün, birleşmelerde başarıyı ve başarısızlığı getirebilen anahtar bir unsur olduğu ve insan kaynakları yönetiminin, birleşmelerde kritik bir role sahip olduğu görülmektedir. Şirket birleşmelerinde insan kaynakları yönetiminin önemi ve uygulamadan bir örnek çalışması konulu tez çalışması, şirket birleşmelerini ve birleşmelerde insan kaynakları yönetiminin öneminin belirlenmesine yönelik olarak gerçekleştirilmiştir. Bu doğrultuda, birleşme gerçekleştirmiş olan iki ayrı şirkette, hazırlanan anket soruları vasıtasıyla araştırma yapılmış, insan kaynakları yönetiminin birleşme sürecinde ne tür roller üstlendiği incelenmiştir. Belirtilen amaçlar doğrultusunda elde edilen veriler, şirket birleşmelerinde insan kaynakları ile ilgili sorunlar görülmektedir; bu sorunların en aza indirgenebilmesi ve gerekli önlemlerin alınabilmesi konusunda insan kaynakları yönetiminin önemi büyüktür varsayımımız çerçevesinde karşılaştırmaları olarak analiz edilmiştir.
Corporate mergers are founded with the aim of creating synergy and achieving strategic goals. Indeed, Human Resources Management can play a valuable role during a merger. Although products, manufacturing ability or a sales force might get more attention-and actually serve as the underlying reason for the merger-the human side of the equation is a key element in the success or failure of a merger. However, there are some problems occurring in mergers such as; withstand of the employees, communication and cultural differences, unemployment etc. Human Resources has a critical role in due diligence-both from the benefits and compensation side and the cultural side. Ultimately, many mergers fail because of human resources-related issues, such as culture clash. Communication during a merger or acquisition isn't only about keeping people informed-it's also about keeping performance high when a company and its employees are in vulnerable positions. A solid understanding of each company's workforce and the culture that surrounds each can help human resources staff develop policies and strategies that work best in the situation. Next, human resources professionals must identify the key human resources concerns that will support those strategies. In this thesis, we have worked out to investigate the importance of human resources management in corporate mergers. In the practive of the study, it is analysed which problems are occured in human side of mergers and which roles human resources management plays. In order to achieve the results, we communicated with the human resources managers of two corporations and presented a questionaire form. The achieved resultes are analysed with our hyphothesis there exists human resources problems in mergers and the importance of human resources management is cruical in the situation of decreasing those problems and taking preventive measures.
