Tek satıcılık sözleşmesi

Abstract

Tek satıcılık sözleşmesi, kanunlarla düzenlenmemiş, uygulamanın ihtiyaçları doğrultusunda, hukuk düzeninin sınırları içerisinde, sözleşme özgürlüğü prensibi çerçevesinde ortaya çıkmış olan bir sözleşme tipidir. Tek satıcılık sözleşmesi, yapımcı ile tek satıcı arasındaki hukuki ilişkileri düzenleyen , çerçeve niteliğinde, sürekli öyle bir sözleşmedir ki, bununla yapımcı mamullerinin tamamını veya bir kısmını belirli bir bölgede tekel hakkına sahip olarak satmak üzere tek satıcıya bedeli karşılığında düzenli olarak göndermeyi, buna karşılık tek satıcı da sözleşme konusu malları kendi adına ve hesabına satarak bu malların sürümünü arttırmak için faaliyette bulunmayı üstlenir. Tek satıcılık sözleşmesi, sözleşmenin tarafları olan yapımcı ve tek satıcı arasında hak ve borçlar doğuracak ve sözleşmenin hükümleri kural olarak sözleşmenin dışında kalan üçüncü kişileri bağlamayacaktır. Rekabet Kanunu uyarınca tek satıcılık sözleşmeleri ancak çerçeve sözleşme ile tek satıcıya mutlak tekel tanımamış olan hallerde muafiyet alabileceklerdir. Tek satıcıya mutlak tekel hakkı sağlayan bir tek satıcılık sözleşmesi, muafiyet almış olsa dahi, sözleşmenin bu koşullarının üçüncü kişilere karşı ileri sürülmesi mümkün değildir. Tek satıcılık sözleşmesi, sözleşme süresinin dolması, ölüm, fiil ehliyetinin kaybı, iflas, haklı nedenle fesih ve sözleşmenin belirsiz süreli olduğu hallerde olağan fesih ile sona erebilir. Exclusive distribution contract appeared in respect of contract liberty in the limits of the law order as a response to the needs of the practice as it is not set forth by positive regulations. Exclusive distribution contract organise the relations between the producer and the exclusive distributor in the form of a continous and frame contract so as the producer undertakes to send regularly all or a part of his products to exclusive ditributor who shall obtain a right of monopoly in a determined area . On the other hand exclusive distributer undertakes to sell the mentioned products on his name and account and to act in order to increase the demand for the product. Exclusive distribution contract shall have its effects and create rights and debts between the producer and distributer , shall not normally bind the third pardies. According to the Law about The Protection of The Concurrence, exclusive distribution contract , shall obtain an exemption only if an absolute right of monopoly is not given to the distributer. Such a contract shall not be set against third parties even though an exemption is obtained. Exclusive distribution contract may end by the expiration of the contract term, death, banktruptcy, resiliation with justified reason and resiliation of the contract of undetermined term.
