İTİRAZ EDİLMEYEREK TİCARİ DEFTERLERE KAYDEDİLEN FATURANIN SÖZLEŞME HÜKÜMLERİNİ DEĞİŞTİRİP DEĞİŞTİREMEYECEĞİ

Abstract

Bu çalışmada, itiraz edilmeyerek ticari defterlere kaydedilen faturanın sözleşme hükümlerini değiştirip değiştiremeyeceği sorunu ele alınmıştır. Yargıtay, sözleşmedekinden farklı birim fiyat içeren faturaya süresinde itiraz edilmeyip ticari defterlere kaydedilmesi durumunda, faturada gösterilen birim fiyat ve fatura toplamının benimsediğinin kabulü gerektiği yönünde karar vermiştir. Bize göre, sözleşme hükümlerinden farklı ise, fatura, sözleşmenin faturada yer alan yönde değiştirilmene ilişkin bir öneri (=icap) niteliğindedir. Böyle bir faturaya itiraz edilmeyip ticari deftere kaydedilmesine, söz konusu sözleşme değişikliği önerisinin, irade faaliyetiyle kabulü sonucu bağlanabilir.

This paper is on the subject of whether an invoice recorded in the commercial books without any objection, would change the terms of the Agreement, or not. The Court of Cessation has decided that: in a situation where there is no timely objection to an invoice with a unit price that is different from the price stated on the Agreement, and when this invoice is recorded in the commercial books, then the unit price, and the sub total on the invoice must have been deemed to be adopted. We believe that, if an invoice is different from the terms of the Agreement, any change on the Agreement based upon the invoice would constitute an offer .
