Sermaye şirketlerinde esas sermaye arttırımına yönelik yasal düzenlemeler ve öneriler

Abstract

Bu çalışmada, son yıllarda meydana gelen kronik enflasyon şartlarının ve diğer nedenlerin sermaye şirketlerinin iş hacminin gerisinde bırakması, dolayısıyla isteğe bağlı yada bazı hallerde yasaların getirmiş olduğu düzenlemeler neticesinde esas sermaye artırımı konusu işlenmiştir. Birinci bölümde esas sermaye ve esas sermaye artırımı kavramına yer verilmiştir. Esas sermayenin nitelikleri, işlevleri ve diğer kavramlarla olan ilişkilerinden yola çıkarak kavramın tanımı yapılmaya çalışılmıştır. Bunu yaparken kanuni hükümler göz önünde bulundurulmuştur. Çalışmada önemi dolayısıyla sermaye şirketlerinden Anonim ve Limited türlerine yer verilmiştir. İkinci bölümde Anonim şirketlerine yer verilmiştir. Sermaye artırım sistemleri, mevzuatta kanun ile ilgili düzenlemeler ve Anonim şirketlerde esas sermaye artırım prosedürü mevzuata getirilen yeni düzenlemeler göz önünde bulundurularak açıklanmıştır. Daha sonra esas sermaye artırımı türleri örneklerle anlatılmıştır. Üçüncü bölümde de, Limited şirketlerdeki uygulamalara yer verilmiştir. Sonuç olarak, Avrupa Birliği’ne tam üyelik için Türkiye’den istenen ekonomik uyumun en önemli kalemi, Birliğin ekonomik şartlarına uyum gösterebilecek kapitalist yapının eksiksiz kurulmasıdır. Bunu göz önünde bulundurduğumuzda, şirketlerin sermayelerinin günümüz koşullarına uyarlanması ve işlemleri hızlandırmak için mevzuatta şirketlerin lehine yapılan değişikliklerin ne kadar önemli ve olumlu bir uygulama olduğunu görüyoruz. At this study; the chronical inflation conditions that seen recently, and the other reasons that have made the capital of the companies, behind the capacity of business, and thus ; to some extent the legal regulations that set up certain applications, are analyzed. At section 1, the main capital and the growth of the main capital issue are analyzed. The quality and the functions of the main capital and the functions of the main capital and the relations with the other concepta are used in order to compose the final concept of the meaning. At the work as for the importance for the capital companies, Limited and incorporated joint companies are used as an example. At part 2, incorporated joint companies are analyzed. The growth of the capital, the arrangements up to the regulations of the increase of the capital are also taken to the consideration and explained in that way. Later on the kinds of capital growths are explained with examples. At part 3, Limited companies are explained in terms of their capital growths. As a conclusion, the main issue which the European Union asks for, is the need of setting the capitalist body for relation with the E.U.’s economical conditions. If we take this in to consideration, we see that; the changes made for the regulations and the capitals of the companies re-organized for to-day’s conditions, which will be very positive for the economy.
