Abstract
Ticaret sicili, ticaret hayatındaki önemli bilgi ve işlemleri merkezi olarak kaydeden ve bu bilgileri toplumun bilgisine sunarak hukuki işlem güvenliğini temin eden, bildirici ve kurucu etkilere sahip, resmi nitelikte aleni bir sicildir. Avrupa Birliği mevzuatı çerçevesinde 6102 sayılı Türk Ticaret Kanunu (TTK) ile ticaret sicili alanında önemli değişikler yaşanmış ve sicilin aleniyet özelliğini pekiştirmek adına önemli bir adımı oluşturan ulusal elektronik sicil sistemi projesi hayata geçirilmiştir. Çalışmamız boyunca ticaret sicilinin mukayeseli hukuktaki ve Türk hukukundaki gösterdiği gelişim, Merkezi Sicil Kayıt Sistemi (MERSİS), uluslararası siciller arası işbirliği çalışmaları, sicilinin işleyiş aşamaları, sicil müdürünün görev ve yetkileri, ticaret siciline tescilin üçüncü kişiler ve kayıt ilgilileri üzerindeki hukukî sonuçları ve sicilin tutulmasından kaynaklanan zararlardan doğan sorumluluk konuları öğretideki farklı yaklaşımlar ve Yargıtay kararları ışığında incelemeye tabi tutulmuştur. Sicil bilgilerinin doğruluğuna duyulan güveni sağlamak ve işlem güvenliğini tam anlamıyla gerçekleştirebilmek adına 6102 sayılı TTK ile öngörülen, görünüşe güven ilkesi ve sicilinin tutulmasından doğan zararlardan devlet ile ilgili ticaret ve sanayi odalarının müteselsil ve kusursuz sorumluluğu hakkında detaylı bir inceleme gerçekleştirilmiştir. Trade registry, which has entered centrally important information and transactions in business life and ensured legal transaction reliability with publishing these information to community, has been the effect of accuracy and the constitutive effect, is a kind of formal and public registry. Within framework of European Union Legislation, some significant amendments about trade registry have been made and national electronic registration system project, that is an important step in support of publicity feature of registry, has been put into practice by virtue of Turkish Commercial Code (TCC) No: 6102. Through our study, improvements of trade registry in comparative law and Turkish law, Central Trade Registry System, international collaboration between trade registries, registry mechanism steps, duty and authorities of registry manager, legal results of entry in registry on third parties and relevant person and liability issues due to damages arising from keeping the trade register had been examined in the light of different approaches on doctrine and the supreme court judgements. For the sake of transaction reliability and verification of accuracy of registry information, the rule of conjoint and flawless liability of government with the relevant chamber for damages arising from keeping the register and the principle of trust to appearance for registry, which have been enacted with TCC No: 6102, had been examined deeply in detail. Furthermore conditions of this liability, claims for tort and revocation mechanism had given information in detail in our study.
