Abstract

Kuruluştan doğan sorumluluk, hem şirketin başarı ile tüzel kişilik kazanarak faaliyetine devam etmesi halinde, hem şirketin tüzel kişilik kazanmasının arkasından süresinde feshedilmesi halinde söz konusu olacaktır. Tüm bu ihtimallerdeki kanuna aykırılıklar kurucuların ve katılanların, oluşan zarardan farklılaştırılmış teselsül ilkesi gereğince sorumlu olmalarına yol açacaktır.

The responsability arising f rom establishment comes into question due to both the f act that the company continues his activities af ter acquisition of legal personality and the cancellation within the p rescribed period. All illegalites in these situations cause the responsability of f ounders and others involved to the company f or the damages in accordance with p rinciple of diff erentiated solidarity.
