Abstract
Küreselleşme ile beraber modern şirket kavramının ortaya çıktığını ve bu olgunun piyasaları etkilediğini görmekteyiz. Modern şirketlerde en önemli olgulardan biri, şirket sahipliliği ile yönetimin birbirinden ayrılmış olmasıdır. Şirketlerde belirli bir aşamadan sonra yönetimin profesyonellere terkedilmesi kurumsallaşma açısından oldukça önemlidir. Yeni bir iş kurmak için nasıl girişimciye ihtiyaç varsa sistem kurmak yani kurumsallaşmak için de yöneticiye ihtiyaç vardır. Şirket sahipliği ile profesyonel şirket yöneticiliğinin birbirinden ayrışması bu iki grup arasında "vekâlet problemi (agency problem)" adı verilen çıkar çatışmasına neden olmaktadır. Bu problemin çözümü için etkin bir yönetim kurulunun devreye sokulması gerekmektedir. Bu bakımdan Sermaye Piyasası Kurulu (SPK) yönetim kuruluna büyük önem atfetmiş ve "yönetim kurulu" 'nu ayrı bir başlık olarak kurumsal yönetim ilkeleri arasına almıştır.
Thanks to globalisation we now see the rise of modern companies and the effect of this phenomenon on the markets. The most important feature of a modern company is that ownership and management is divided. In terms of institutionalisation, it is of great importance to leave the management to professionals at a certain level. While an entrepreneur is a must to set up a new business, professionals on the other hand are essential for institutionalisation. The division of ownership and management inevitably creates conflict of interests, named as "the agency problem", between these two. In order to eliminate this problem, a company would need an effective board of directors. The Capital Markets Board of Turkey (CMB), therefore, gives great significance to the concept of board of directors, and names the concept rulu" 'nu ayrı bir başlık olarak kurumsal yönetim ilkeleri arasına almıştır.as a distinct entity amongst the principles of corporate governance.
