İflasın tespiti ve ertelenmesi yönünden borca batıklık bilançosu ve iyileştirme projesi üzerine bir inceleme

Abstract

lanço, Borca Batıklık, Borca Batıklık Bilançosu, İyileştirme Projesi, İflasın Ertelenmesi ÖZET İFLASIN TESPİTİ VE ERTELENMESİ YÖNÜNDEN BORCA BATIKLIK BİLANÇOSU VE İYİLEŞTİRME PROJESİ ÜZERİNE BİR İNCELEME İşletmelerin sınırsız kabul edilen ömürleri bir takım nedenlerle sona erebilmektedir. Sermaye şirketleri ve kooperatiflerde alacaklılara karşı sorumluluk şirket/ kooperatifin malvarlığı ile sınırlı olduğu için, kanun koyucu alacaklıların haklarının korunması açısından bir takım düzenlemeler yapmıştır. Sermaye şirketleri ve kooperatiflerde malvarlığının borçları karşılayamaması doğrudan doğruya iflas nedenidir. Ancak, sermaye şirketleri ve kooperatiflerin iflasları Kanun’da belirtilen şartların sağlanması halinde ertelenebilmektedir. Bu şartlardan biri sermaye şirketi/ kooperatifin borca batık olmasıdır. Borca batıklığın tespiti için özel amaçlı bir bilançonun: Borca Batıklık Bilançosunun varlığı gerekmektedir. Çünkü amaç, şirket/ kooperatifin tam malvarlığını tespit etmektir. Diğer bir şart ise mali durumun iyileşme ümidinin varlığının iyileştirme projesiyle ortaya konulmasıdır. Bu çalışmada borca batıklık bilançosunun ve iyileştirme projesinin nasıl hazırlanması gerektiğine ve iflasın ertelenmesine karar verilebilmesi için bilirkişilerce nasıl inceleme yapılması gerektiğine ilişkin öneriler sunulmuştur. THE OVERINDEBTEDNESS BALANCE SHEET AND THE REHABILITATION PROJECT IN DETERMINING BANKRUPTCY AND ITS ADJOURNMENT: AN EXAMINATION The seemingly eternal lives of the enterprises might end because of certain factors. The responsibility against the creditors in the equity companies and cooperatives is limited with company/ cooperative’s property holdings. Thus the legislator enacted specific regulations to protect creditors’ rights. In equity companies and cooperatives, the situation of non-meeting of debts by the property holdings is a cause of direct bankruptcy. Yet, the bankruptcy of these entities could be adjourned under specified conditions of the legislation. One of these conditions was “overindebtedness”. In order to determine this situation a special purpose balance sheet is required: Overindebtedness Balance Sheet. Here the aim is to ascertain the exact amount of company/ cooperative’s property holdings. The other condition is to put forward the hope of any improvement in the financial state of the entity via Rehabilitation Project. This study aims to put forward the ways to prepare Overindebtedness Balance Sheet and Rehabilitation Project. Moreover it aims to present suggestions for court experts to examine the situation of the entity in order to adjourn the bankruptcy.
