Publication: Acentelik sözleşmesinde denkleştirme istemi
Abstract
Acenteler, acentelik sözleşmesi süresince yaptığı faaliyetler neticesinde, bir müşteri portföyü elde ederler. Acentelik sözleşmesinin son bulması ile birlikte, sözleşmenin diğer tarafı olan müvekkil acentenin kazandırdığı müşteri çevresinden menfaat elde etmeye devam eder. Acente ise söz konusu menfaatten bir pay elde edemez. Bu sebeple acente lehine bir düzenleme yapılması gerekliliği ortaya çıkmıştır. 6102 Sayılı Türk Ticaret Kanunu m. 122 ile acentelik sözleşmesinde denkleştirme istemi konusu kanunumuzda düzenlenmiştir. Bu çalışmada ilk olarak acentelik sözleşmesinin kapsamı incelenecektir. Bu doğrultuda, acente kavramı, acentelik ilişkisinin unsurları, acentelik ilişkisine uygulanacak hükümler, acentelik sözleşmesinin şekli ve içeriği, acentenin hakları ve borçları konuları ele alınacaktır. Akabinde, acentelik sözleşmesinin sona ermesi ve sona ermenin sonuçlarından olan denkleştirme istemi konusu incelenecektir. Bu doğrultuda, denkleştirme isteminin amacı, hukuki niteliği, koşulları ve hesaplanması konuları aktarılacaktır.
Agents acquire a customer portfolio as a result of their activities during the agency agreement. Upon the termination of the agency agreement, the principal, who is the other party to the contract, continues to benefit from the customer base brought in by the agent. However, the agent does not receive a share of this benefit. Therefore, a regulation in favor of the agent has become necessary. The issue of the equalization claim in agency agreements is regulated in Article 122 of the Turkish Commercial Code No. 6102. In this study, firstly, the scope of the agency agreement will be examined. In this context, the concept of an agent, the elements of the agency relationship, the provisions applicable to the agency relationship, the form and content of the agency agreement, and the rights and obligations of the agent will be addressed. Subsequently, the termination of the agency agreement and the issue of the equalization claim, which is one of the consequences of termination, will be examined. In this context, the purpose, legal nature, conditions, and calculation of the equalization claim will be explained.
