6102 SAYILI TÜRK TİCARET KANUNU İLE GETİRİLEN YENİLİKLER KAPSAMINDA ANONİM ORTAKLIK PAYININ İNTİFA HAKKINA KONU OLMASI

Abstract

Anonim ortaklık payının sınırlı aynı haklara konu edilmelerimümkün olup payın konu olabileceği sınırlı ayni hakların başında intifa hakkı gelmektedir. İntifa hakkı, sahibine sağladığı geniş kullanma ve semerelerinden yararlanma yetkileri nedeniyle özel olarak incelenmesigereken bir kurumdur. Pay sahibi ile intifa hakkı sahibinin çatışan veyarışan menfaatlerinin belirlenmesi ve bu konularda çözüm önerilerinin getirilmesi gerekmektedir. Çalışmamızda intifa hakkının pay üzerinde tesis edilmesi ve intifa hakkının sahibine sağladığı yetkiler, 6102 sayılı Türk Ticaret Kanunu ile getirilen değişiklikler çerçevesinde ele alınmıştır.

As the shares of joint stock companies can be subject to legal transactions, it is also possible to establish limited real rights in shares. Usufruct is one of the limited real rights which a share of joint stock company can be subjected. The usufruct entitles the user to usus and fructus, therefore it is a subject that needs to be examined in particular. It is necessary to determine the conflicting and competing interests of the shareholder and the usufructuary and to propose solutions to them. In this study, we examine the establishment of usufruct and the power granted to the usufructuary within the framework of the Turkish Commercial Code number 6102.
