BORSAYA KOTE EDİLMEMİŞ NAMA YAZILI PAYLARDA ANONİM ŞİRKETİN KAÇIŞ KLOZU KULLANARAK PAY DEVRİ ONAYI TALEBİNİ REDDETMESİ

Abstract

Anonim şirketlerde pay devri sınırlamaları kanundan veya esas sözleşmeden kaynaklanabilir (TTK m.490). Şirket esas sözleşmesinde, pay sahipleri çevresinin birleşimine, işletme konusuna veya işletmenin bağımsızlığına yönelik önemli sebeplere yer verilerek, bu sebeplerin mevcudiyeti durumunda şirketin borsaya kote edilmemiş nama yazılı payların devrine onay vermeyeceği belirtilebilir (TTK m.493/1/2). Ancak bu sebeplerin mevcut olmaması durumunda dahi şirket devredene payları gerçek değeri ile satın almayı önererek pay devrinin onayı talebini reddedebilir. Yabancı hukuklarda "escape clause" (kaçış klozu) olarak adlandırılan bu uygulama sayesinde şirket istenmeyen kişilerin pay sahibi olmasını engelleyebilecektir

Limitations to transfer of shares could be statutory or based on articles of association (Turkish Code of Commerce TCC art.490). In articles of association, by including important causes regarding the union of shareholders, field of business or independence of business, it could be stated that if these causes are present corporation would not consent to transfer of unquoted registered shares (TCC art.493/1/2). However even if these causes are not present, corporation could refuse the request for consent to share transfer by offering the transferor to buy the shares with their real value. Through this method which is called escape clause in foreign legal systems, corporation would be able to prevent shareholding of undesired parties
