Abstract
Uluslararası inşaat sözleşmelerinde (Fıdıc Kırmızı Kitap 1999 ve 2017 versiyonlarına göre) yüklenicinin eseri teslim borcunda gecikmesi Çalışmamız kapsamında, yüklenicinin eseri teslim borcunda gecikmesi meselesi, Kırmızı kitap 1999 metni esas alınarak incelenmiş, bunu yanında Kırmızı Kitap’ın 2017 versiyonu ile getirilen yenilikler kıyaslamalara yer verilerek açıklanmıştır. Çalışmamız dört ana bölümden oluşmaktadır. Çalışmamızın birinci bölümünde, öncelikle eserin teslim süresi açıklanmıştır. Bu yapılırken işe başlama ve işin tamamlanma süresi gibi temel hususlar anlatılacak ve son olarak Kırmızı Kitap uyarınca eserin teslimi meselesi açıklanacaktır. İkinci bölümde, çalışmamızın yine temel kavramlarından “gecikme” kavramı açıklanacak, bunun yanında gecikmeye engel bir hal olarak yüklenicinin süre uzatımı konusu incelenecektir. Süre uzatımının hukuki niteliği açıklığa kavuşturularak, yüklenicinin süre uzatımına hak kazandığı ihtimaller tek tek açıklanacaktır. Bu yapılırken her bir süre uzatım sebebinin koşulları ve yüklenicinin sahip olduğu haklara yer verilecektir. Üçüncü bölümde ise, iş sahibinin, yüklenicinin eseri teslim borcunda gecikmesi üzerine Kırmızı Kitap kapsamında sahip olacağı haklar ve bu kapsamda gecikme tazminatı ile sözleşmeyi sona erdirme hakları incelenmiştir. Türk hukukunun sözleşmenin esasına uygulanacak hukuk olması ihtimaline istinaden, Türk Borçlar Kanunu’nun cezai şarta ilişkin hükümleri ve sözleşmeyi sona erdirmeye ilişkin TBK m. 473/ f. 1 hükmü çalışma konusu kapsamında incelenmiştir. Dördüncü bölümde, yüklenicinin eseri teslim borcunda gecikmesinin taraflar arasında bir uyuşmazlık yaratması ihtimali değerlendirilmiş ve FIDIC Kırmızı Kitap çerçevesinde uyuşmazlık çözüm yolları inceleme konusu yapılmıştır.
Delay of the contractor in delivery of the work in international construction contracts (according to Fıdıc Red Book 1999 and 2017 versions) Within the scope of our study, the issue of the contractor's delay in the contractor's obligation to deliver the work has been analysed on the basis of the 1999 text of the Red Book, and the innovations introduced by the 2017 version of the red book have been explained with comparisons where appropriate. Our study consists of four main parts. In the first part of our study, firstly, the delivery period of the work is explained. While doing this, basic issues such as the start and completion time of the work will be explained and finally, the issue of delivery of the work in accordance with the Red Book will be explained. In the second part, the concept of delay, which is one of the basic concepts of our study, will be explained, and the issue of the contractor's time extension as a situation to prevent delay will be examined. By clarifying the legal nature of the extension of time, the possibilities that the contractor is entitled to an extension of time will be explained one by one. In doing so, the conditions of each reason for extension of time and the rights of the contractor will be included. The third part analyses the rights of the employer under the Red Book upon the delay of the contractor in the delivery of the work, and in this context, the delay compensation and the right to terminate the contract. Based on the possibility that Turkish law is the law applicable to the substance of the contract, the provisions of the Turkish Code of Obligations regarding the penal clause and the provision of Article 473/ f. 1 of the TCO regarding the termination of the contract have been examined within the scope of the study. In the fourth part, the possibility of a dispute between the parties due to the contractor's delay in the delivery of the work is evaluated and the dispute resolution methods within the framework of the FIDIC Red Book are analysed.
