Publication: Limited Şirkette Nama Yazılı Senede Bağlanmış Esas Sermaye Payının Devir Şartları
Abstract
Kuruluşundaki esneklik sebebiyle, limited şirketler Türkiye'de en sık kullanılan şirket türüdür. Sermaye şirketi özelliği, limited şirketin en önemli özelliklerinden biridir. Şirket ortaklarının şirkete olan yakın bağlılığı diğer önemli özelliğidir. Limited şirkette bulunan kişi unsuru, sermaye payının devrine yönelik pek çok şartı da beraberinde getirmektedir. TTK m. 593/2'ye göre, limited şirkette pay senetleri ancak ispat niteliğinde veya nama yazılı bir senede bağlı olarak çıkarılabilir. Genel kural olarak, aksine bir düzenlemenin bulunmaması halinde, nama yazılı senede bağlanmış sermaye payı genel kurul onayı olmaksızın devredilemez. Bu çalışmada, limited şirkette nama yazılı senede bağlanmış sermaye payının devir şartları, İsviçre ve Alman Hukuku ile karşılaştırmalı olarak ele alınmıştır
The limited liability company, is by far the most used form in Turkey, because of the flexiblty structered. Capital company qualification is the most important qualification of the limited liability company. The closely attaching the partners to the company is the other important qualification. The fact that the personal nature of the limited liabilty company, the assignment of the company contribution depends on fully requirements. Pursuant to Art. 593 para. 2 of the Turkish Commercial Law, a certificate evidencing a company contribution many only constitute an evidentiary document or a registered security. And as a general rule, registered securities of the company are not transferable except with the approval of the general meeting of the partners. In this study, the conditions of the assisgnment of the registered securities of the company are considered comparatively with Swiss and German Law
