dc.description.abstractÇalışmamızda Yargıtay Hukuk Genel Kurulu'nun 02.4.2014 tarihinde vermiş olduğu 2013/11-1048 esas ve 2014/430 numaralı kararı inceleme konusu yapılmıştır. Uyuşmazlığa konu olan anonim şirket genel kurul kararının, iptal davasına mı yoksa diğer geçersizlik türlerinden birine mi konu olması gerektiği hususu ele alınmıştır. Ayrıca pay sahibinin ortaklar arasında yapılan sözleşmeye binaen kazanmış olduğu bir hakkın, anonim şirket genel kurulunda alınan bir karar ile ihlal edilip edilemeyeceği hususu değerlendirilmiştir.
dc.description.abstractIn this paper, a decision of Supreme Court-Assembly of Civil Chambers was examined. If the decision of general assembly which is the subject of the case subject to annulability or nullity was considered. In addition, if the rights which the shareholders get with a shareholders contract could be infringed matter was assessed.
