KOOPERATİFLERİN KATILDIĞIBİRLEŞMELERDEKANUNLARINÇATIŞMASINDAN DOĞAN SORUNLARVEUYGULANACAKHÜKÜMLERİN TESPİTİ

Abstract

Kooperatiflerin devralma yoluyla birleşmesiyahut bir kamu tüzel kişisi tarafından devralınması1163 sayılı Kooperatifler Kanunu’nda düzenlenmiştir. Buna karşılık, 01.07.2012’de yürürlüğe giren Türk Ticaret Kanunu, kooperatiflerin dâhil olabilecekleri birleşmeleri göstermiş (m. 137/3) ve bu birleşmelere m. 134 ilâ 194. maddelerin uygulanacağını hükme bağlamıştır (m. 134/1). Diğer kanunların, TTK m. 134 ilâ 194’e aykırı olmayan hükümleri ise saklı tutulmuştur. Bu halde kooperatiflerin katıldıkları birleşmelerde hangi hükümlerin uygulanacağı, daha ayrıntılı ifade etmek gerekirse, TTKm. 134 karşısında KK’nın hangi hükümlerinin ilgaedilmiş sayılıp hangilerinin halen yürürlükte olduğutespit edilmelidir.

The merger of the cooperatives through takeover or the acquisition by a public legal entity is regulated in the Cooperatives Code numbered 1163. On the other hand, the Turkish Commercial Code, which entered into force on 01.07.2012, has regulated the mergers in which cooperatives participate (art. 137/3) and regulates the application of articles 134 to 194 of these mergers. The regulations which are not contrary to TCC art. 134 to 194 are reserved. In this case, the mergers in which cooperatives participate which provisions of the CC have been repealed and which are still in force must determine according to TCC art. 134.
